Welcome! Sociair is an AI-powered tool that enables you to build and grow your business through social media management, CRM, and ERP tools. These terms set forth our legal obligations to each other. They apply to your use of our services.

When we say 'Sociair', 'we', 'us' and 'our' in these terms, we mean our company, One Window Pvt. Ltd., its subsidiaries and its related companies. When we say 'services' in these terms, we mean Sociair's services, apps, websites and other products. When we say 'you' or 'your', we mean you. If you're accessing our services on behalf of a legal entity (like your employer), you agree that you have the authority to bind that entity to these terms, and 'you' and 'your' will refer to that entity.

We also have a Privacy Policy and other policies that apply to your use of our services and are incorporated into these terms. You should read these policies – we've worked hard to make them simple and clear, and they contain important information about your use of our services. By using Sociair's services, you agree to these terms.

Who we are

We're Sociair! We are located at Kathmandu, Bagmati 44600, Nepal.

What you can expect from us

Sociair provides services that help you and your organization connect, communicate, and manage business activities more effectively. Through Sociair, users can access a range of modules such as social media management, CRM, HR, ecommerce, inventory, calls, tickets, campaigns, and more. These tools are designed to help teams collaborate, engage with customers, publish content, analyze performance, and manage business operations from a single platform. We are continuously evolving our services, and we may introduce new modules and features in the future.

Users and organizations create tenants in Sociair. Tenant owners and administrators control permissions, roles, and rules within their tenant. This includes managing membership, assigning custom roles, defining what those roles can do, and configuring tenant-specific settings. Admins also control whether their tenant integrates with external services, whether automation features are enabled, and how data is shared or accessed within their organization. These permissions and configurations may change over time.

Sociair is designed to make business management and communication as seamless as possible. Posts, tasks, and updates appear in their respective modules in the order they are created. Calls, messages, and chat communications happen in real time. We may build features that help you create content, streamline collaboration, access third-party services, or highlight activity within Sociair that could be of interest to your business. This may include connecting your Sociair account with external platforms (such as social media networks, email providers, or payment gateways) to extend functionality. Some services may include features, content, or products provided by third parties, or that can be purchased through Sociair (additional terms may apply).

Sociair is designed to integrate with your workflows and connected platforms to simplify operations. For example, when using Sociair, you may connect your social accounts to schedule posts, link ecommerce systems to track sales, or sync communication tools for unified messaging. You control whether and how these accounts and services are connected, and you may adjust your Settings at any time.

Sociair's services may be personalized based on your activity, tenant settings, preferences you identify, and modules you use. This allows us to highlight relevant features, recommended content, promotions, and sponsored integrations. You can manage personalization and related options in your account Settings.

Sociair also takes user and organizational security seriously. We provide features, permissions, and controls designed to help keep users and data safe. Certain features may vary depending on your role, organization type, or local regulations. We also provide resources to help organizations adopt best practices for security, collaboration, and compliance. Additionally, we are committed to making Sociair accessible to a wide range of users.

We're actively developing new features and services to improve Sociair. As part of these efforts, we may add or remove features, begin offering new modules, or discontinue certain services if they no longer make sense from a business or security perspective. While we aim to minimize disruptions, we cannot guarantee that outages or changes will not occur. In such cases, some of your data or content may become temporarily or permanently unavailable. Sociair is not liable for any outages, data loss, or service changes.

Your Sociair Account

To access Sociair's services on an ongoing basis, you must create a Sociair account. When registering, you'll need to provide a valid username, password, and a way to contact you (such as an email address and/or phone number). In some cases, you may be required to provide additional information (such as your organization name, role, or billing details) or verify your account.

You are responsible for maintaining the security of your account. You agree to notify us immediately if you believe your account has been compromised. If you use a password, it must be strong, and we strongly recommend using that password only for your Sociair account and enabling two-factor authentication (2FA) for additional protection.

You must always provide accurate and up-to-date information to Sociair and maintain the accuracy of all details associated with your account. We may assume that any communications, actions, or purchases made through your account or the associated contact information are authorised by you.

If you lose access to your account, we will attempt to verify your identity and contact you through the email or phone number linked to your account. However, if your account is compromised and you no longer have access to the registered email or phone number, we may not be able to restore access to your account or your organization's tenant.

You agree not to license, sell, lend, or transfer your Sociair account, username, tenant name, vanity URL, or any other unique identifier without our prior written consent. We also reserve the right to delete, change, or reclaim usernames, tenant names, URLs, or other identifiers if necessary to protect our platform, users, or brand integrity.

Content

Our Service allows you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ('Content'). You are responsible for Content that you post to the Service, including its legality, reliability, and appropriateness.

By posting Content to the Service, You grant us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the Service. You retain any and all of your rights to any Content you submit, post or display on or through the Service.

Software in Sociair's Services

Licence to our software. Some Sociair services may require you to download, install, or use client software (for example, desktop or mobile applications). Permission is granted to temporarily access and use Sociair for personal, non-commercial, transitory viewing only.

You may not copy, modify, create derivative works based on, distribute, sell, lease, or sublicense any of our software or services. You may not reverse engineer, decompile, or otherwise attempt to extract the source code of our software or services, nor assist anyone else in doing so, unless you have our prior written consent or applicable law explicitly permits it.

All intellectual property rights in Sociair's software and services remain with us.

Third-party services. Sociair may allow you to connect or access third-party products, features, or services (for example, social media networks, payment gateways, analytics tools, or communication platforms). These third-party services are controlled and operated by independent providers, and your use of them is governed by their own terms and policies. It is your choice whether to use these integrations, and you should carefully review the third party's terms and policies before enabling or relying on their services.

While third parties must follow any applicable policies when interacting with Sociair, we are not responsible for the operation, functionality, or availability of their services. Sociair does not warrant or endorse, and will not be liable for, any third-party services. If you believe a third-party integration or service connected to Sociair violates our policies or poses a risk, you may report it through the tools we make available. We reserve the right, but not the obligation, to review such reports and take action at our discretion.

We respect the intellectual property of others and expect our users to do the same.

Sociair's Paid Services

Sociair offers different subscription plans and modules based on the needs of your business or organization. You only pay for the services and integrations you choose to enable. For example, if you subscribe to our Social Media Management (SMM) module, you will not be charged for features like Calls unless you also choose to subscribe to them.

The cost of your plan depends on the modules, integrations, and add-ons you select. Our Paid Services Terms apply to any subscription or purchase you make through Sociair's supported payment flows. In some cases, you may also be asked to agree to separate terms (such as integration-specific agreements, billing terms, or partner terms) before activating or using additional services.

We will clearly communicate pricing, subscription options, and any applicable terms before you complete a purchase or upgrade your plan.

Customer Data

Customer's Proprietary Rights. You retain all ownership rights to your Customer Data and any materials you upload, create, or manage within Sociair ('Customer Materials'). By using Sociair, you grant us and our licensors permission to use your Customer Data and Materials only as necessary to provide, maintain, and improve Sociair's services, in accordance with this Agreement and applicable law.

If you are using Sociair on behalf of an organization, company, or another party, you represent and warrant that you have all necessary rights and permissions to provide and authorize use of such Customer Data.

Usage Data. We may collect information about you and your Users when you interact with the Subscription Service as permitted by the Agreement.

Machine Learning. We may use Customer Data to support and develop AI features and functionality within the Subscription Service and similar products and services that rely on machine learning. You instruct us to use Customer Data for such purposes.

Limits on Sociair. Sociair will use Customer Data solely to provide the services you have subscribed to, including integrations, modules, and platform features, as permitted by this Agreement and applicable law. We will not use your Customer Data for purposes beyond what is necessary to deliver and improve the services, except as otherwise agreed in writing or required by law.

Restrictions on Your Use of Sociair's Services

When using Sociair, you must comply with these Terms, all applicable laws and regulations, and you may only use the services for authorized and legitimate business purposes. You must also adhere to our Acceptable Use Policy and other applicable policies, which set out more detailed rules about your content, data handling, and behaviour when using Sociair, as well as how we enforce them.

Fundamentally, do not do, attempt to do, or encourage or help others to do any of the following:

  • Don't use the services to harm others or their organizations. This includes attempting to gain access to another user's account, tenant, or non-public portions of the platform; infringing on intellectual property or other proprietary rights; exploiting, harassing, spamming, or sending unauthorized auto-messages or auto-dials through our communication modules; or using Sociair in ways that could cause real-world harm to individuals or businesses.
  • Don't use the services to harm Sociair. This includes attempting to gain unauthorized access to our systems; intentionally overloading or attacking our infrastructure; scraping or harvesting data from the platform without written consent; selling, licensing, or commercializing data obtained from Sociair; transmitting malware or malicious code; using unauthorized software or scripts designed to interfere with our services; abusing or defrauding our payment systems; reverse-engineering or copying our platform without permission; or misusing our reporting and support tools.
  • Don't use the services for illegal purposes. This includes planning, promoting, or committing crimes, fraud, or other unlawful activities using Sociair.

If you encounter content or activity that violates these restrictions, we encourage you to report it at info@sociair.com. If you or someone else is in immediate danger, contact your local law enforcement agency. Please note that Sociair cannot be used to directly contact emergency services.

Intellectual Property

This agreement provides you access to and use of Sociair's services, but does not grant you any ownership rights or licenses to our software, content, or services beyond what is expressly authorized. Sociair retains all intellectual property rights in its platform, modules (such as CRM, Social Media Management, HR, Calls, Ecommerce, etc.), integrations, and any other products or services provided under this agreement.

You agree not to copy, rent, lease, sell, distribute, or create derivative works based on Sociair's software, content, or services, in whole or in part, by any means, unless explicitly authorized in writing by Sociair. Sociair's trademarks and brand assets (including logos, names, and graphics) are owned by Sociair, and you may not use any of them without prior written permission.

Suggestions

We welcome feedback, suggestions, or ideas from users to improve Sociair's platform, features, and services. By providing comments or suggestions, you agree that they are non-confidential and that Sociair may use, implement, or modify them at our discretion, without payment, attribution, or obligation to you.

Confidentiality

Confidential Information Obligations. When using Sociair, you agree to:

  • Protect Confidential Information. Safeguard the confidential information of Sociair, its affiliates, or other users ('Disclosing Party') using at least the same degree of care as you use to protect your own confidential information of similar sensitivity, but in no case less than reasonable care.
  • Use Limitations. Only use confidential information for purposes authorized under these Terms or in connection with your organization's use of Sociair, and not for any other purpose.
  • Non-Disclosure. Do not disclose confidential information to any third party, except: Third-party service providers or integration partners that assist Sociair in delivering its services, provided they are bound by confidentiality obligations, or Individuals within your organization (employees, contractors, or agents) who need access to perform their roles and who are under confidentiality obligations at least as strict as those in this agreement.
  • Access Restrictions. Limit access to confidential information only to those within your organization or your affiliates who require it to perform authorized activities, and ensure they are bound by confidentiality protections no less stringent than those stated here.

Publicity

You grant us the right to add your name and company logo to our customer list and website.

Indemnity

You agree to indemnify and hold Sociair, its parent company, affiliates, officers, directors, employees, and agents harmless from and against any claims, liabilities, damages, losses, and costs (including reasonable legal and accounting fees) arising out of or related to:

  • Your access to or use of Sociair's services or any third-party integrations connected to Sociair.
  • Your content, data, or materials submitted, shared, or processed through Sociair.
  • Your violation of these Terms, our Acceptable Use Policy, or any other applicable policies.
  • Your negligence, fraud, or willful misconduct.
  • Your organization's use of Sociair, including actions taken by your employees, contractors, or administrators within your tenant.

Term & Termination

Your right to terminate. You are free to stop using Sociair's services at any time and for any reason. To terminate this agreement, you may delete your Sociair account through the Settings page or discontinue use of the services. You may also deactivate your account, which will limit active participation but may still allow your activity history to be tracked for recordkeeping and compliance purposes.

If you are part of a tenant (organization workspace), your profile may also be deleted or deactivated by the tenant owner or administrators if you leave the organization or no longer require access. Entire tenants can only be deleted by contacting Sociair support directly, and such requests must come from verified tenant owners.

Certain provisions of these Terms will survive termination, as outlined in the Survival section below.

Our right to terminate. Subject to applicable law, Sociair reserves the right to suspend or terminate your account, your profile within a tenant, or your access to some or all of our services with or without notice, at our discretion, for any reason, including (but not limited to) the following:

  • You breach, encourage, or assist others in breaching these Terms, our Acceptable Use Policy, or other applicable policies.
  • We are required to do so to comply with a legal obligation or court order.
  • We reasonably believe termination is necessary to prevent harm to you, us, other users, or third parties.
  • Your account or tenant has been inactive for more than two years.
  • Continuing to allow your account, profile, or tenant to remain active poses a security, compliance, or business risk to Sociair, other users, or third parties.

Where reasonable and required by law, we will provide you with advance notice before termination.

Services "AS IS"

We work hard to provide reliable and effective services, but we cannot guarantee any minimum level of performance or availability. The quality of your experience with Sociair may depend on factors outside our control, such as your internet connection, third-party integrations, or the devices and systems you use.

TO THE FULLEST EXTENT PERMITTED BY LAW, SOCIAIR, ITS AFFILIATES, AND THEIR RESPECTIVE SUPPLIERS MAKE NO WARRANTIES, EXPRESS OR IMPLIED, ABOUT THE SERVICES. THE SERVICES ARE PROVIDED "AS IS."

This includes disclaiming any implied warranties of merchantability, fitness for a particular purpose, quiet enjoyment, and non-infringement, as well as any warranties that may arise from course of dealing or usage of trade.

Certain jurisdictions or laws may not allow limitations on implied warranties. Where such laws apply, and to the extent that such warranties cannot be disclaimed, Sociair limits the duration and remedies of such warranties to the fullest extent permissible under applicable law.

API Client Usage

By accessing services through our platform, users comply to be bound with service usage policy of respective Social Media platforms:

  • YouTube: By using API Clients, Users agree to be bound by YouTube Terms of Service. For more information please visit: https://www.youtube.com/t/terms
  • Facebook: Users must comply with Facebook Platform Policy
  • Instagram: Users must adhere to Instagram API Terms of Use
  • Twitter: Users must follow Twitter Developer Agreement and Policy
  • LinkedIn: Users must comply with LinkedIn API Terms of Use

Subscription and Billing

Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis (such as monthly or annually), depending on the type of subscription plan you select when purchasing a subscription.

At the end of each billing period, your subscription will automatically renew under the same conditions unless you cancel it or Sociair cancels it. You may cancel your subscription renewal through your account settings or by contacting our customer support team.

Refunds and Cancellations

Certain refund requests for subscriptions may be considered by Sociair on a case-by-case basis and granted at the sole discretion of Sociair. Please contact our customer support team for more information about refund policies.

Limitation of Liability

In no event shall Sociair, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

Governing Law

These Terms shall be interpreted and governed by the laws of Nepal, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

Child Safety Standards

Our Services are not directed to children under the age of 13, or the age of digital consent in your region. We do not knowingly collect personal information from children. If we become aware that we have inadvertently collected such information, we will take steps to delete it immediately.

We have a zero tolerance policy for any content or behavior that exploits or endangers children. This includes, but is not limited to, child sexual abuse and exploitation (CSAE).

To protect users and comply with applicable laws:

  • Children are not permitted to use our Services.
  • We strictly prohibit any form of CSAE content, communication, or activity.
  • We provide mechanisms to report abuse or suspicious activity within our platform.
  • Any reports of CSAE will result in immediate removal of content, suspension of accounts, and reporting to the appropriate authorities.
  • We fully cooperate with law enforcement and child protection agencies in investigations related to child safety.
